STRATEGIC PARTNERSHIP TERMS & CONDITIONS
1. AGREEMENT OVERVIEW
These Terms and Conditions ("Agreement") govern your participation in the Strategic Partner Program ("Program") operated by EdWorld Music Inc DBA Fabi Paolini ("Company," "we," "us," or "our"). By applying to and participating in the Program, you ("Partner," "you," or "your") agree to be bound by these terms.
2. PROGRAM DESCRIPTION
The Strategic Partner Program allows approved partners to promote our webinars, training programs, and services in exchange for commission payments on qualifying client enrollments.
Qualifying Programs Include:
- Breakthrough Brand Messaging (8-week program)
- Breakthrough Brand Marketing (12-week program)
- 1:1 Brand Messaging Intensive
- 1:1 Marketing Strategy Program
- Other programs as designated by Company
3. COMMISSION STRUCTURE
Commission Rates:
- Breakthrough Brand Messaging: $350 per enrollment
- Breakthrough Brand Marketing: $500 per enrollment
- 1:1 Brand Messaging Intensive: $750 per enrollment
- 1:1 Marketing Strategy: $1,000 per enrollment
Commission Qualification:
- Commissions are paid only on completed client enrollments
- Client must complete payment (or first payment if payment plan)
- Payment must clear without chargebacks or disputes
- Client must have registered through Partner's unique tracking link
4. PAYMENT TERMS
Payment Schedule: Commissions are paid within seven (7) business days after client payment clears.
Payment Method: Payments are made via PayPal to the email address provided in Partner's application.
Payment Minimum: No minimum payment threshold.
Refunds/Chargebacks: If a client requests a refund or initiates a chargeback, any corresponding commission will be reversed from Partner's account or deducted from future payments.
5. TRACKING AND ATTRIBUTION
Attribution Window: 90 days from initial click on Partner's unique link.
Last-Click Attribution: If a prospect clicks multiple partner links, the last partner link clicked before enrollment receives commission credit.
Tracking Requirements:
- Partner must use only the unique tracking link provided by Company
- Partner may not modify, redirect, or alter the tracking link
- Partner may use reputable link shorteners (Bitly, TinyURL) but not sketchy services
6. PARTNER RESPONSIBILITIES
Promotional Requirements:
- Partner must accurately represent Company's programs and services
- Partner may only use approved marketing materials provided by Company
- Partner must comply with all applicable laws and regulations
- Partner must maintain professional standards in all communications
Prohibited Activities:
- Spamming or unsolicited email marketing
- False or misleading claims about Company or its programs
- Trademark or copyright infringement
- Paid search advertising using Company's trademarked terms without permission
- Promoting to audiences under 18 years of age
- Using deceptive, unethical, or illegal marketing practices
7. INTELLECTUAL PROPERTY
Company Materials: All promotional materials, logos, images, and content provided by Company remain Company's intellectual property. Partner receives limited license to use materials solely for Program promotion during the term of this Agreement.
Partner Content: Partner retains ownership of their original content but grants Company permission to share Partner testimonials and success stories for Program promotion.
8. COMPLIANCE
FTC Disclosure: Partner must comply with FTC guidelines and clearly disclose the material relationship when promoting Company programs. Required disclosure language: "This post contains affiliate links. I may earn a commission if you purchase through these links."
CAN-SPAM Compliance: All email communications must comply with CAN-SPAM Act requirements including clear sender identification and unsubscribe options.
Data Protection: Partner must comply with applicable privacy laws (GDPR, CCPA, etc.) when collecting or processing personal data.
9. TERMINATION
By Company: We reserve the right to terminate Partner's participation immediately for:
- Violation of these terms
- Unethical or illegal marketing practices
- Misrepresentation of Company or its programs
- Failure to maintain professional standards
- Any reason deemed detrimental to Company's reputation
By Partner: Partner may terminate participation at any time by written notice to Company.
Effect of Termination:
- Partner must immediately cease all promotional activities
- Partner must remove all Company materials from websites/platforms
- Outstanding commissions for verified enrollments will be paid
- License to use Company materials terminates immediately
10. LIMITATIONS AND DISCLAIMERS
No Guarantee: Company makes no guarantee regarding Partner's potential earnings or success in the Program.
Independent Contractor: Partner is an independent contractor, not an employee or agent of Company. Partner is responsible for their own taxes and business expenses.
Limitation of Liability: Company's liability to Partner is limited to unpaid commissions owed. Company is not liable for indirect, incidental, or consequential damages.
11. MODIFICATIONS
Company reserves the right to modify these terms at any time. Partners will be notified of material changes via email. Continued participation constitutes acceptance of modified terms.
12. GOVERNING LAW
This Agreement is governed by the laws of Florida, United States. Any disputes will be resolved in the courts of Miami-Dade County, Florida.

14. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between Partner and Company regarding the Strategic Partner Program and supersedes all prior agreements or understandings.
By participating in the Strategic Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
